Who these Terms are between. These Talent Registration Terms (the "Terms") are an agreement between PH TALENTS LTD, a private company limited by shares incorporated in England and Wales with company number 17383205, whose registered office is at 71–75 Shelton Street, Covent Garden, London WC2H 9JQ, United Kingdom ("PH Talents", "we", "us", "our"), and the individual professional who registers with us (the "Talent", "you", "your"). You can contact us at [email protected] or through our website at https://phtalents.io.

Our service is completely free to you. PH Talents will never charge you, deduct anything from you, or require you to buy anything, in return for finding or seeking to find you work. This is a legal requirement under section 6 of the Employment Agencies Act 1973 as well as our firm commitment. See clause 3.

Plain-language summary (not part of the contract). We are an introduction service. We verify who you are and what you can do, and we introduce you to business clients who may want to engage you. If a client engages you, your contract is directly with that client, the client pays you directly, and you work as an independent professional. We are not your employer, we do not pay you, and we do not supervise your work. We cannot promise you work. You must tell us the truth, keep your profile up to date, and tell us when an engagement starts or ends.

1. About these Terms

  1. 1.1 These Terms govern your registration with PH Talents and the work-finding services we provide to you as an employment agency (an introduction service) within the meaning of section 13(2) of the Employment Agencies Act 1973 and the Conduct of Employment Agencies and Employment Businesses Regulations 2003 (the "Conduct Regulations"). We are not an employment business: we do not supply you to work under any client's supervision on our behalf, we do not engage you ourselves, and we are never in the payment chain between you and any Client.
  2. 1.2 Consistently with the record-keeping and terms-agreement requirements of the Conduct Regulations (including the spirit of regulation 16), these Terms are agreed with you, and recorded in this single document, before we provide any work-finding services to you. You accept these Terms by completing registration on our platform and confirming your acceptance electronically. We will keep a record of the version you accepted and the date of acceptance, and we will give you a copy on request.
  3. 1.3 These Terms are a first draft prepared for review by an England and Wales solicitor. They are not in use and do not constitute legal advice.

2. Definitions

  1. 2.1 In these Terms, the following words have the following meanings:
  2. 2.2 Headings are for convenience only. Words in the singular include the plural and vice versa. "Including" means including without limitation. References to legislation are to that legislation as amended or replaced from time to time.

3. Our service is free to you

  1. 3.1 PH Talents does not and will not charge you any fee, commission, deduction or charge of any kind for finding or seeking to find you work. Registration, verification, profile hosting, Introductions and all other work-finding services we provide to you are free of charge to you, now and for as long as you are registered.
  2. 3.2 This reflects section 6 of the Employment Agencies Act 1973, which prohibits charging fees to persons seeking work (subject only to narrow exceptions that do not apply to our services), and regulation 26 of and Schedule 3 to the Conduct Regulations.
  3. 3.3 If anyone claiming to act for PH Talents ever asks you for money in connection with finding you work, do not pay, and report it immediately to [email protected].
  4. 3.4 We charge fees to Clients only. Our Client fees do not reduce, and are never deducted from, anything a Client agrees to pay you.

4. What PH Talents does — and does not do

  1. 4.1 What we do. Subject to these Terms, PH Talents will:
  2. 4.2 No guarantee of work. We will make reasonable efforts to introduce you to suitable Clients, but we do not promise or guarantee that you will receive any Introduction, interview, Engagement, or any particular volume, duration or rate of work. Any decision to engage you is the Client's alone, and any decision to accept an Engagement is yours alone.
  3. 4.3 What we do not do. For clarity, PH Talents:
  4. 4.4 Before we introduce you to a Client, we will take reasonable steps to confirm your identity and that you have the experience, training, qualifications and any authorisations that the Client considers necessary for the position, and that you are willing to be considered for it.

5. Registration, eligibility and your obligations

  1. 5.1 To register, you must: (a) be at least 18 years of age; (b) be legally able to provide services as an independent professional in the jurisdiction where you are located; and (c) complete our registration process, including the Verification Checks you consent to under clause 6.
  2. 5.2 Truthful information. You warrant that all information you give us — including your identity details, work history, qualifications, skills, references and Profile Content — is true, accurate and complete, and not misleading. Providing false or misleading information is a material breach of these Terms and may result in removal under clause 11.
  3. 5.3 Keeping your profile current. You must keep your Profile Content and your availability status up to date, and promptly correct anything that becomes inaccurate. In particular, you must update your availability status when you are no longer available for new Engagements.
  4. 5.4 Telling us about Engagements. You must tell us promptly (and in any event within 5 Working Days) when: (a) a Client to whom we introduced you offers you an Engagement; (b) an Engagement starts; (c) an Engagement ends, for whatever reason; and (d) the agreed scope or pay of an Engagement materially changes. This allows us to keep accurate records, invoice the Client correctly (our fees are the Client's responsibility, never yours), and operate any replacement support the Client has purchased.
  5. 5.5 Professional conduct. You must: (a) respond to Client communications arranged through us professionally and within a reasonable time; (b) attend interviews and calls you have agreed to, or give reasonable notice if you cannot; (c) not misrepresent your skills or experience to any Client; and (d) not offer or accept any payment to or from PH Talents personnel in connection with an Introduction.
  6. 5.6 You are free to seek work through any other channel at any time. Registering with PH Talents is not exclusive, and we will never subject you to any detriment because you find work elsewhere or end your registration (consistent with regulation 6 of the Conduct Regulations).

6. Verification Checks and your consent

  1. 6.1 Verification is central to our service: Clients rely on our Verification Summaries when deciding whether to engage Talent. We only carry out Verification Checks with your prior, informed consent, given check by check during registration. The checks are:
  2. 6.2 Consent language. During registration you will be asked to give a separate, specific consent for each category of check in clause 6.1, in substantially the following form: "I consent to PH TALENTS LTD carrying out this check, and to the outcome of this check being recorded and shared with prospective clients in summary form only." You may decline any check; however, some checks (at minimum identity verification and, for most Client requirements, NBI clearance) are a practical precondition to our being able to introduce you, and we will tell you at the time which checks are required for which kinds of Introduction.
  3. 6.3 Right to withdraw. You may withdraw any consent at any time by emailing [email protected] or using the Platform controls. Withdrawal does not affect the lawfulness of anything done before withdrawal. If you withdraw a consent that is a practical precondition of Introductions, we may pause or limit Introductions and will tell you the consequences before you confirm the withdrawal.
  4. 6.4 Keeping verification current. Some checks expire (for example, NBI clearance). With your consent we may ask you to renew checks periodically so that your Verification Summary stays current. We will tell you when renewal is needed.
  5. 6.5 Outcomes. If a check returns an adverse or unclear result, we will tell you, give you a reasonable opportunity to explain or correct it, and record your response before deciding whether and how it affects your profile.

7. How we share your profile with prospective Clients

  1. 7.1 By registering, you agree that we may share with prospective Clients, for the purpose of Introductions: (a) your Profile Content; and (b) your Verification Summary.
  2. 7.2 Summaries only. We share Verification Summaries only. We never give Clients copies of your underlying documents (such as your passport, NBI clearance certificate, PRC licence or reference correspondence).
  3. 7.3 We may show a limited, anonymised or truncated version of your profile to prospective Clients before a full Introduction (a preview shows your first name and last initial, your role, skills, rates and verification status — never your full name or contact details).
  4. 7.4 We require Clients, under our terms with them, to use your information only to evaluate and engage you and to protect it appropriately. However, once a Client receives your information, the Client processes it as a separate controller (see clause 8.4).

8. Data protection

  1. 8.1 PH TALENTS LTD is a controller of your personal data under the UK General Data Protection Regulation and the Data Protection Act 2018. Our ICO registration number is Our ICO registration is in progress; this page will show the registration number once it is issued. Full details of how we process your personal data, your rights and how to exercise them are set out in our Privacy Policy at phtalents.io/legal/privacy-policy, which does not form part of these Terms but should be read alongside them.
  2. 8.2 The personal data we process about you includes identity data, contact data, Verification Check outcomes, work history, references, Profile Content and records of Introductions and Engagements.
  3. 8.3 Criminal offence data. NBI clearance outcomes are criminal offence data. We process this data only with appropriate safeguards and on the basis of a condition in Schedule 1 to the Data Protection Act 2018 together with our appropriate policy document.
  4. 8.4 Sharing with Clients. We share your Profile Content and Verification Summary with prospective Clients on a controller-to-controller basis: each Client is responsible in its own right for what it does with your data after receiving it.
  5. 8.5 International transfers. Because you are located in the Philippines and Clients may be located in the United Kingdom or elsewhere, your personal data will be transferred internationally. Where we transfer your personal data to a Client outside the United Kingdom, we do so under an appropriate transfer mechanism — a UK International Data Transfer Agreement or the UK Addendum to the EU Standard Contractual Clauses, or on the basis of UK adequacy regulations where they apply.
  6. 8.6 Nothing in these Terms limits any rights you have under applicable data protection law, including the UK GDPR and, where it applies to you, the Philippine Data Privacy Act of 2012.

9. Your status; Engagements with Clients; tax

  1. 9.1 Independent professional. Any Engagement you enter into is a direct contract between you and the Client, under which you provide services as an independent professional (an independent contractor). Nothing in these Terms, and no Introduction or Engagement, creates any employment relationship, partnership, agency or joint venture between you and PH Talents.
  2. 9.2 We are not a party. PH Talents is not a party to any Engagement. The terms of each Engagement — including scope, deliverables, rates, invoicing and termination — are for you and the Client to agree directly. We may make a template engagement agreement available for you and a Client to use; use of that template is optional and does not make us a party to it or responsible for it.
  3. 9.3 Payment. The Client pays you directly under the terms you agree with the Client. PH Talents never holds, collects or forwards any payment due to you, makes no deductions from your pay, and gives no guarantee that any Client will pay you. If a Client fails to pay you, your remedy is against the Client; we will, on request, provide reasonable factual assistance (such as confirming the Introduction) but we have no obligation to pursue the Client on your behalf.
  4. 9.4 Tax and registrations. You are solely responsible for your own tax, social contributions and business or professional registration obligations in the Philippines and anywhere else they arise, including any registration with the Philippine Bureau of Internal Revenue (BIR), and for accounting for and paying all taxes on amounts Clients pay you. Whether you register with the BIR is entirely your choice and your responsibility: we may ask about, and record, your registration status for information purposes, but we will never require BIR registration as a condition of our services. We do not withhold, deduct or account for any tax on your behalf.
  5. 9.5 You confirm you understand that, because you are an independent professional and not an employee of PH Talents or (unless you and a Client expressly agree otherwise) of any Client, you will not receive employee benefits, statutory employment protections or paid leave from PH Talents, and PH Talents provides no cover for you under any insurance policy.

10. Intellectual property in your Profile Content

  1. 10.1 You retain all intellectual property rights in your Profile Content.
  2. 10.2 You grant PH Talents a non-exclusive, royalty-free, worldwide licence to host, copy, format, display and communicate your Profile Content on the Platform and to prospective Clients, in each case solely for the purposes of operating the Platform and providing Introductions, for as long as you remain registered and for a reasonable period afterwards limited to record-keeping required by law.
  3. 10.3 You warrant that your Profile Content is your own or that you have the right to provide it, and that it does not infringe anyone else's rights (including a former client's or employer's confidentiality or intellectual property rights — do not upload work product you are not entitled to share).
  4. 10.4 We may make reasonable formatting or presentation changes to Profile Content (for example, layout and summarisation), but we will not alter its substance without your agreement. This clause does not permit us to use your Profile Content in general advertising or marketing that identifies you without your separate consent.

11. Removal, suspension and ending your registration

  1. 11.1 You can leave at any time. You may end your registration at any time, free of charge, by emailing [email protected] or using the Platform controls. We will deactivate your profile and stop making Introductions promptly, and in any event within 5 Working Days.
  2. 11.2 Ending your registration does not affect: (a) any Engagement you already have with a Client, which continues on its own terms; (b) our fee arrangements with Clients, which are never your responsibility; or (c) records we must keep by law (including records under the Conduct Regulations, kept for at least one year after we last provided services to you).
  3. 11.3 Suspension or removal by us. We may suspend or remove your profile, or decline to make further Introductions, if: (a) you materially breach these Terms (including clause 5.2 — truthful information); (b) a Verification Check cannot be completed, expires without renewal, or returns an adverse result which, after the process in clause 6.5, we reasonably consider makes Introductions inappropriate; (c) a Client makes a serious complaint about your conduct which we reasonably believe after fair enquiry to be substantiated; or (d) we reasonably believe continued registration would put us in breach of law.
  4. 11.4 Before suspending or removing you under clause 11.3 we will, except in urgent cases, tell you the reason and give you a reasonable opportunity to respond. We will confirm any removal decision in writing.
  5. 11.5 On ending of your registration for any reason, we will handle your personal data in accordance with our Privacy Policy and applicable law, including deleting or anonymising data we no longer need.

12. Complaints

  1. 12.1 If you are unhappy with any aspect of our service, contact us at [email protected]. We will acknowledge your complaint within 3 Working Days and aim to give you a full response within 15 Working Days.
  2. 12.2 Employment agencies in Great Britain are regulated by the Employment Agency Standards Inspectorate (EAS), part of the Department for Business and Trade. You may contact the EAS about our conduct as an employment agency.
  3. 12.3 Complaints about a Client's conduct under an Engagement should be raised with the Client directly, but please also tell us: Client conduct is relevant to whether we keep working with that Client.

13. Liability

  1. 13.1 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or any rights you have under applicable law that cannot be contractually excluded.
  2. 13.2 Because our service is free to you, and subject to clause 13.1, our total liability to you arising out of or in connection with these Terms is limited to £100 and we are not liable to you for loss of profits, loss of opportunity, or indirect or consequential loss.
  3. 13.3 We are not liable for the acts or omissions of any Client, including a Client's decision not to engage you, its conduct during an Engagement, or its failure to pay you.
  4. 13.4 We do not warrant that the Platform will be uninterrupted or error-free, but we will use reasonable skill and care in providing our services.

14. Changes to these Terms

  1. 14.1 We may update these Terms from time to time, for example to reflect changes in law, our services or our processes. If we make a material change, we will give you at least 30 days' notice by email or through the Platform before the change takes effect.
  2. 14.2 If you do not accept a material change, you may end your registration under clause 11.1 before the change takes effect, at no cost. Continuing to use our services after the effective date constitutes acceptance of the updated Terms. Changes will not apply retrospectively, and no change will ever introduce any fee or charge to you for work-finding services (clause 3 is permanent).

15. General

  1. 15.1 Notices. We will send notices to the email address on your profile; you should send notices to [email protected]. Keep your contact details current.
  2. 15.2 Assignment. You may not transfer your rights or obligations under these Terms. We may transfer ours to a successor of our business, provided your rights are not reduced.
  3. 15.3 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remainder continues in force.
  4. 15.4 No waiver. A failure or delay by either party to exercise a right is not a waiver of it.
  5. 15.5 Entire agreement. These Terms, together with the consents you give at registration and our Privacy Policy (as to data matters), are the entire agreement between you and PH Talents regarding our work-finding services, and supersede prior discussions. Nothing in this clause limits liability for fraud.
  6. 15.6 Third parties. No one other than you and PH Talents has any right to enforce these Terms under the Contracts (Rights of Third Parties) Act 1999.
  7. 15.7 Language. These Terms are drafted in English. A Filipino (Tagalog) courtesy translation may be provided in future; if one is, the English version prevails.

16. Governing law and jurisdiction

  1. 16.1 These Terms, and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims), are governed by the law of England and Wales.
  2. 16.2 The courts of England and Wales have non-exclusive jurisdiction over any such dispute or claim.
  3. 16.3 Nothing in this clause 16 deprives you of the protection of any mandatory provisions of the law of the Philippines (including mandatory consumer or data-privacy protections) that apply to you notwithstanding the choice of English law and cannot be excluded by agreement.

17. Acceptance

  1. 17.1 These Terms are ordinarily accepted electronically during registration on the Platform, and the electronic acceptance record (version, date, time and account) is our record of agreement. The signature blocks below are for use where a signed copy is required.
